1. Acceptance of Terms

By accessing or using the Clinvent platform ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

Clinvent provides a cloud-based medical equipment and inventory management platform for clinics, including asset tracking with QR codes, maintenance scheduling, consumable and inventory management with batch and expiry tracking, fault ticketing, purchase orders, supplier management, multi-location support, and optional WhatsApp and email notifications.

Clinvent is an operational and inventory tool — it is not a patient records system, an electronic health record (EHR), or a substitute for required regulatory compliance processes.

3. Business Use

The Service is intended for use by clinic businesses and their authorized staff. By creating an account, you confirm you are authorized to act on behalf of the clinic or business using the Service.

4. User Accounts and Roles

Accounts are assigned one of three roles: admin, technician, or user, each with different permissions. Account admins are responsible for assigning appropriate roles to their team members and for all activity under their account.

5. Acceptable Use

You agree not to upload, store, or process any patient health information (PHI) or other regulated patient data into the Service. You agree not to misuse audit logs or account data, or attempt to access data outside your assigned role's permissions.

6. Subscription and Billing

Free, Clinic, and Pro plans are described on our Pricing page, each with applicable asset and user limits. Paid subscriptions are billed monthly or annually via Tranzila. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are provided on a case-by-case basis for annual subscriptions.

7. Equipment and Consumable Data Accuracy

You are solely responsible for the accuracy and completeness of equipment, consumable, maintenance, and inventory records you enter into the Service. Clinvent is a record-keeping tool and does not independently verify or guarantee the accuracy of any data you enter.

8. Batch and Lot Tracking

For consumables requiring batch or lot tracking (including medical-grade items such as toxins, fillers, and medications), you are solely responsible for complying with all applicable recall, storage, handling, and regulatory requirements in your jurisdiction. Clinvent provides tracking tools only and does not verify or guarantee your regulatory compliance.

9. Third-Party Notification Services

By enabling WhatsApp or email notifications, you consent to sharing the relevant contact information (phone number or email) with our notification providers — Twilio for WhatsApp, and our email delivery provider — solely for message delivery purposes.

11. Disclaimer of Warranties

Clinvent is provided "as is" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or that it satisfies any specific regulatory or compliance requirement applicable to your business.

12. Limitation of Liability

To the maximum extent permitted by law, Clinvent is not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to equipment failures, missed maintenance, regulatory non-compliance, or inventory discrepancies. Clinvent is a record-keeping and coordination tool; you remain responsible for your clinic's operational and regulatory decisions.

13. Termination

We may suspend or terminate accounts that violate these Terms. You may cancel your account at any time.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
